Further Statement By Mabofi Holdings Ltd In Relation to Recent Developments Around Emfesz

Further to earlier statements by Mabofi on the fraudulent transfer of Emfesz to Rosgas, we wish to comment on recent developments as follows:

False statements by Mr Goczi

Following his recent arrest, István Goczi, the managing director of Emfesz has declared through various press articles that he acted on behalf and with the knowledge of Emfesz’s legal beneficial owner when selling Mabofi’s 100% shareholding in Emfesz to RosGas AG for a consideration of 1USD. Mabofi and its beneficial owner Mr Firtash wish to reiterate that Mr Goczi transferred the company fraudulently, without authorization and without informing the legal owner of the transaction. Mr Goczi was recently arrested by the Hungarian National Investigation Bureau (NNI) for suspicion of embezzlement in connection with this fraudulent transaction.

Evidence of financial embezzlement at Emfesz

Mabofi can confirm that the NNI has in its possession evidence showing that fraudulent activities were taking place at Emfesz in 2008 prior to its fraudulent transfer to Rosgas. As a result of these activities a substantial amount of money has been extracted from the company for purposes that appear to be completely unconnected with Emfesz’s stated business, and without the knowledge and consent of its owner, Mabofi. The NNI are investigating this matter further.

Emfesz is not for sale

There has been recent speculation reported in the media concerning the possibility that the Hungarian Electricity Company (MVM) may purchase an ownership stake in Emfesz.

We wish to reiterate and confirm that pursuant to hearing the application on 29th May 2009, the Cantonal Court Presidency of Zug ordered that Rosgas was forbidden to:

1) Sell or otherwise dispose of the share quotas in the Hungarian company Emfesz.

2) Liquidate or otherwise dispose of the assets of the Hungarian company Emfesz.

3) Agree any transfer or sale of the issued share capital of Rosgas itself.

These interim measures remain in force pending the determination of Mabofi’s appeal in Switzerland.

Mabofi will therefore take all appropriate legal actions against RosGas and all other persons and entities that would be involved in any such transactions to sell or otherwise transfer shares in Emfesz.

In addition to the injunction of the Cantonal Court in Zug, numerous legal actions have been started relating to the fraudulent change of ownership in Emfesz. Mabofi will continue to vigorously protect its interests to recover ownership of Emfesz and to secure damages that have resulted from this fraud.
